GyftCoin Terms and Conditions

1. GyftCoin Disclaimer

GyftCoin is a promotional reward issued for user engagement within the GyftPro ecosystem. Until the official launch of the GyftCoin program, GyftCoin has no intrinsic or monetary value and cannot be redeemed for cash, cryptocurrency, or any other financial equivalent. GyftCoin is provided strictly on an “as is” and “as available” basis, without any guarantees of present or future utility, value, or functionality. Users acknowledge that GyftCoin may be modified, suspended, or discontinued at any time at the sole discretion of GyftCoin LLC.

2. No Liability and No Warranties

GyftPro Inc. and GyftCoin LLC disclaim all liability for any losses, damages, costs, or claims—whether direct, indirect, incidental, consequential, or otherwise—arising out of or relating to the acquisition, possession, use, or interpretation of GyftCoin. This includes, without limitation, losses associated with:

• Inability to redeem or utilize GyftCoin;
• Perceived or actual changes in GyftCoin’s value;
• Suspension, modification, or termination of the GyftCoin program;
• Unauthorized access, errors, or disruptions affecting GyftCoin balances;
• Misunderstandings regarding potential future value or functionality.

No oral or written information or advice provided by GyftPro Inc., GyftCoin LLC, or their representatives shall create any warranty. All implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed.

3. Non‑Transferability and Third‑Party Disclaimers

GyftCoin is non‑transferable and may not be sold, traded, exchanged, or transferred in any form unless explicitly permitted by GyftCoin LLC. GyftCoin LLC is not responsible for user attempts to transfer, sell, or exchange GyftCoin through unauthorized channels, nor for any disputes, agreements, or losses arising from such attempts. Any unauthorized transfer or attempted transfer is void.

4. Redemption and Use

Any redemption options or promotional benefits offered prior to launch, including but not limited to charitable donations, discounts, or other incentives, are not guaranteed and may be modified, limited, or discontinued at the sole discretion of GyftCoin LLC. GyftCoin LLC is under no obligation to provide redemption options at launch or thereafter and assumes no liability for users’ expectations regarding redemption or utility.

5. No Investment, No Securities, No Ownership Rights

GyftCoin is not an investment, digital security, currency, or financial instrument. It does not represent or confer any ownership interest, voting rights, equity, dividends, profit-sharing rights, or other financial or governance rights in GyftPro Inc., GyftCoin LLC, or any affiliated entity. Users acknowledge and agree that acquiring GyftCoin does not constitute an investment and that GyftCoin LLC makes no promises or guarantees regarding appreciation, liquidity, or future conversion.

6. Risk of Expiration, Revocation, or Forfeiture

GyftCoin LLC reserves the right to revoke, expire, or deactivate GyftCoin at any time, with or without cause. Users may forfeit GyftCoin in the event of account inactivity, fraud, policy violations, errors, misuse, or platform changes determined at the sole discretion of GyftCoin LLC. GyftCoin LLC assumes no responsibility for GyftCoin that is lost, deleted, unclaimed, or otherwise inaccessible.

7. Ownership and Operation

GyftCoin is owned, operated, and administered exclusively by GyftCoin LLC, a separate legal entity from GyftPro Inc. All rights, responsibilities, and obligations related to GyftCoin—including issuance, management, redemption, expiration, and user balances—are solely those of GyftCoin LLC. GyftPro Inc. bears no responsibility or liability for the GyftCoin program or any aspect of its operation, use, or perceived value.

8. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute, claim, or controversy arising from or relating to GyftCoin or these Terms shall be resolved exclusively through binding arbitration conducted in Delaware under the rules of the American Arbitration Association (AAA). Users waive all rights to participate in class actions or class-wide arbitration.

9. Amendments and Termination

GyftCoin LLC reserves the right to modify, update, suspend, or terminate the GyftCoin program or these Terms and Conditions at any time, with or without prior notice. Continued possession or use of GyftCoin following any modification constitutes acceptance of the updated Terms. GyftCoin LLC is not liable for any consequences resulting from modifications or termination of the GyftCoin program.

10. Acceptance of Terms

By acquiring or using GyftCoin, users confirm that they have read, understood, and agreed to these Terms and Conditions, and voluntarily assume all risks associated with GyftCoin’s promotional nature, value, and use. Users expressly waive any claims against GyftPro Inc. or GyftCoin LLC arising from GyftCoin’s issuance, utility, or perceived value.
